Emily specializes in M&A, corporate governance, and commercial transactions, often in the biomedical and technology industries. She works closely with domestic and foreign-owned companies to close acquisitions and financings. She is deft and cordial in her contract negotiations. Emily is an attentive advisor whose philosophy on client service is to present practical solutions that precisely address the legal issues at hand.

Driven by her personal and professional interest in cross-border matters, Emily also actively practices employment-based immigration. She meets her clients at eye-level, as she is empathetic about the challenges of moving or emigrating to America, having grown up in “international limbo”. Emily has travelled to 13 countries so far, with long-term stays or residency in 5 countries.

Prior to joining Davis Malm, Emily was a corporate associate at a well-regarded Ohio law firm, and a summer associate for a Chicago firm serving primarily Japanese companies.

Corporate/Commercial Experience

  • Continuing representation of a public company listed on the New York Stock Exchange in connection with several M&A transactions.
  • Represented the British buyers of a U.S. company in an M&A deal. The deal closed, despite complications due to the impact of the Russia-Ukraine war on the fundraise in London.
  • Implemented general terms and conditions of supply with multiple suppliers for an automotive OEM.
  • Advised a leading chemical company on cost-cutting measures, sale options and termination rights under its comprehensive master services agreement that included a lease and plant management services. (The outcome is TBD as litigation and negotiation are ongoing.)
  • Represented a company in its $500 million acquisition of a start-up for its Ethereum blockchain protocol.

Immigration Experience

  • Obtained O-1 visas for highly-skilled researchers.
  • Obtained O-1 visa for professional ballet dancer.
  • Won EB-1C category permanent residency (i.e. green card) approval for a manager transferring from foreign parent to U.S. subsidiary by making regulatory arguments that clarified visa requirements were met despite the complicated fact pattern, where the petition could have otherwise been rejected.
  • Analyzed a client’s professional/ academic credentials to determine eligibility for a National Interest Waiver, assembled the corresponding application, and obtained approval.
  • Advised and assisted an executive in timely obtaining a European passport replacement.
  • Worked with an undocumented individual to obtain U.S. permanent residency.
  • Assisted a Spanish manufacturer expanding operations to the U.S. in obtaining an E-2 treaty investor visa and successfully argued for national interest exemptions to enable their skilled workers and executives to come work at U.S. facilities during the Covid-19 pandemic.

When Emily isn’t counseling clients on corporate and commercial matters, she enjoys spending time outdoors and attending classical music concerts. She grew up in the U.S. and Japan, and is a keen traveler, having visited a total of 13 countries so far. While living in Ohio, Emily served on the Board of Directors of the Japan America Society of Greater Cincinnati and worked with the Tri-State International Education Fund, Inc. in support of the Japanese Language School of Greater Cincinnati.
