Davis Malm shareholder Rich Sampson represented longtime client, Aduro Clean Technologies Inc., in the company’s acquisition of all the issued and outstanding shares of Aduro Energy Inc. from the securityholders of Aduro Energy. Rich handled all aspects of the intellectual property (IP) due diligence for the transaction, which closed on April 28, 2021. Serving as Aduro’s IP counsel since 2012, Rich helped the company patent its first concept. Since then, he has secured over a dozen issued patents in the United States and abroad, with several more pending patent and trademark applications.

According to Aduro Clean Technologies’ press release, the M&A transaction constituted a “fundamental change” for the company under the policies of the Canadian Securities Exchange (CSE). The company completed a 3:1 consolidation of its issued and outstanding common shares and changed its name to “Aduro Clean Technologies Inc.” upon closing of the transaction. The company’s shares were then approved for re-listing on the CSE under the symbol “ACT” with trading resuming on April 29, 2021.
