Davis Malm attorney Bill Griffin recently authored the “Fiduciary Duties of Officers, Directors, and Business Owners” chapter in Advising a Massachusetts Business published by Massachusetts Continuing Legal Education, Inc. The chapter addresses the nature of the fiduciary relationship, specifically outlining the duties and standards of care, loyalty, and disclosure for various types of Massachusetts partnerships and corporations, as well as foreign corporations. Included in the chapter are case laws citing specific examples of the Business Judgment Rule, self-dealing transactions, breach of fiduciary duties, and freeze-outs.
