On September 12, Bill Griffin served as chair and Andrew Myers served as a faculty member at the Massachusetts Continuing Legal Education’s program, “SEC Update 2013: The JOBS Act one year later – and the latest SEC rulemaking.”

Bill provided an overview of the JOBS Act, including the SEC’s progress in adopting regulations to implement the changes mandated by various titles of the act. The focus of Andrew’s presentation was the recent amendments to Rule 506, which now permits general solicitation and advertising for fundraising, provided that certain conditions are met. He also discussed the disqualification of Rule 506 offerings under new “bad actor” rules, and the SEC’s new proposed rules to amend Rule 506 to mandate new filing requirements.
