Tom Fitzpatrick successfully defended a case brought in the United States District Court for the District of Massachusetts against the former CEO and director of a Delaware corporation headquartered in Massachusetts. The plaintiffs in the case were a group of shareholders of the corporation that had formerly held shares in a California corporation, which had been acquired in 2000. They asserted claims for fraud, breach of contract, breach of warranty, breach of fiduciary duty, unjust enrichment and violation of M.G.L. Chapter 93A allegedly arising out of the 2000 acquisition and subsequent corporate transactions in 2003. After vigorous discovery and motion practice, the plaintiffs agreed to a stipulation of dismissal with prejudice, which was entered on February 28, 2005. Thus, the case was successfully concluded for Tom’s client, who admitted to no wrongdoing and paid no money or other consideration for the dismissal of the case.
