Dan Janis practices in the Business Law area. His practice includes representation of public and private companies in a range of financings, transactions and general corporate matters including mergers and acquisitions, syndicated commercial credit facilities, private equity placements, venture capital financings and joint ventures in a variety of industries. Prior to joining Davis Malm, Dan was a corporate associate in the Boston offices of Skadden, Arps, Slate, Meagher & Flom LLP and Goulston & Storrs PC. Before becoming an attorney, Dan was a Peace Corps volunteer in Mali, West Africa and a musician.
Representative Matters
- Represented a NYSE-listed company in its acquisition of a Canadian, public company in exchange for $56 million of cash, $118 million in our client's common stock, and the assumption of approximately $235 million of the acquired company's debt. We also assisted this client in successfully completing an offering of $300 million of Senior Secured Notes.
- Represented venture capital and private equity funds in connection with initial and follow-on rounds of investments in start-up and growth-stage technology, internet and consumer product companies and in connection with post-financing, ongoing general counsel needs.
- Represented internet, software and consumer products companies in connection with angel, venture capital, and private equity financings.
- Represented major banks in connection with syndicated credit facilities in the franchise restaurant and waste management industries.
- Represented lenders in connection with financing facilities to middle market companies in a variety of consumer product industries in order to facilitate leveraged, private equity investments.
- Represented lenders in debt financing facilities to real estate companies in connection with acquisitions of pools of residential and commercial real properties.
